Swiv Vendor Terms of Service
Last Updated: September 15, 2026
These Vendor Terms of Service ("Vendor Terms") govern the submission and ticketing of events on the Swiv platform, operated by Swiv Group, LLC, a Florida limited liability company ("Swiv," "we," "us"). By submitting an event through Swiv's vendor form, you ("Vendor," "you") agree to these Vendor Terms in addition to Swiv's general Terms of Service and Privacy Policy.
1. Event Submission and Approval
All events submitted through Swiv are subject to review before appearing on the platform. Swiv reserves the right to approve, reject, or remove any event at its sole discretion, including for reasons of safety, legality, incomplete information, or misrepresentation. Approval of an event does not constitute an endorsement of the event, the Vendor, or the venue by Swiv.
1a. Scope for Listing-Only Events
Sections 2 (Ticketing and Commission), 3 (Payouts), 4 (Cancellations and Refunds), and 8 (Tax Reporting) apply only to events for which the Vendor uses Swiv's ticketing functionality. Vendors who submit an event for listing purposes only, without selling tickets through Swiv, remain bound by all other provisions of these Vendor Terms, including event approval and removal rights (Section 1), Vendor responsibilities (Section 5), the content license (Section 6), prohibited conduct (Section 7), disclaimers and limitation of liability (Section 10), indemnification (Section 11), and governing law (Section 12).
2. Ticketing and Commission
Swiv facilitates ticket sales on the Vendor's behalf through the app. Swiv charges a commission of 6% on the face value of tickets sold through the platform for the Vendor's event (the ticket price set by the Vendor, before any separate buyer-facing service fee described below). This commission is deducted before funds are paid out to the Vendor. No additional platform fees apply beyond this commission unless otherwise agreed in writing.
In addition to the ticket price, Swiv may charge ticket buyers a separate service fee at checkout to cover payment processing costs. This service fee is charged to and paid by the buyer, is disclosed to the buyer as part of the total price before purchase, and does not reduce the Vendor's payout or factor into the calculation of Swiv's commission under this section.
3. Payouts
Ticket sale proceeds, less Swiv's commission, will be automatically transferred to the Vendor's connected account, typically arriving within 2 business days of the sale. The first payout to a newly connected account may take up to 14 days due to standard account verification holds.
4. Cancellations and Refunds
If a Vendor cancels or materially changes an event (including date, time, or venue) after tickets have been sold, the Vendor is responsible for authorizing refunds to affected ticket holders. Swiv will process refunds on the Vendor's behalf but may withhold or reverse payout of commission-bearing proceeds tied to a cancelled event. Vendors must notify Swiv of a cancellation as soon as possible.
5. Vendor Responsibilities
The Vendor is solely responsible for the planning, execution, and safety of their event, including but not limited to: obtaining any required permits or licenses, complying with applicable alcohol service and age-verification laws, providing adequate security, and complying with local venue capacity limits. Swiv is a ticketing and discovery platform only and is not the organizer, host, or operator of any Vendor's event.
6. Content License
By submitting event details, flyers, or other materials, the Vendor grants Swiv a non-exclusive, royalty-free license to use, reproduce, and display that content on the Swiv platform and in Swiv's own marketing, for the purpose of promoting the event and the platform. The Vendor represents that they have the right to submit and license any content they upload.
7. Prohibited Conduct
Vendors may not submit events that are fraudulent, misleading, or that promote illegal activity. Swiv reserves the right to immediately remove any such event and to suspend or terminate a Vendor's access to the platform.
8. Tax Reporting
Vendors are responsible for their own tax obligations arising from proceeds received through Swiv. Where required by law, Swiv will issue applicable tax forms (e.g., Form 1099) based on total payouts made to a Vendor within a calendar year.
9. Term and Termination
These Vendor Terms apply for as long as a Vendor submits or has active events on the platform. Swiv may suspend or terminate a Vendor's access at any time, for any reason, including violation of these Vendor Terms.
10. Disclaimers and Limitation of Liability
Swiv provides the platform on an "as is" basis and disclaims all warranties, express or implied, regarding the platform's availability or performance. To the maximum extent permitted by law, Swiv's total liability to a Vendor arising out of these Vendor Terms shall not exceed the total commission paid by that Vendor to Swiv in the twelve (12) months preceding the claim.
11. Indemnification
The Vendor agrees to indemnify and hold harmless Swiv, its officers, and affiliates from any claims, damages, or expenses arising from the Vendor's event, including claims related to event safety, venue conditions, or violations of law by the Vendor.
12. Governing Law and Dispute Resolution
These Vendor Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any dispute arising under these Vendor Terms shall first be submitted to mediation in Miami-Dade County, Florida. If unresolved within sixty (60) days, the dispute shall be resolved by binding arbitration in Miami-Dade County under the rules of the American Arbitration Association.
13. Changes to These Terms
Swiv may update these Vendor Terms from time to time. Continued use of the vendor submission form after changes take effect constitutes acceptance of the updated terms.
